These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and diffray, Inc. ("diffray," "we," "us," or "our") concerning your access to and use of the diffray.ai website and our AI-powered code review service (collectively, the "Service").

BY ACCESSING OR USING THE SERVICE, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, YOU MAY NOT ACCESS OR USE THE SERVICE.

1. Eligibility

2. Account Registration

2.1 GitHub Account Required

To use the Service, you must connect your GitHub account through OAuth authentication. You are responsible for maintaining the security of your GitHub credentials.

2.2 Account Information

You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

2.3 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access or use of your account

2.4 Account Termination

We reserve the right to suspend or terminate your account at any time, with or without notice, for any reason, including but not limited to:

• Violation of these Terms
• Fraudulent or illegal activities
• Prolonged inactivity
• Request by law enforcement or government agencies

3. Service Description

3.1 Core Features

diffray provides an AI-powered code review service that:

• Analyzes pull requests in your GitHub repositories
• Provides automated code review suggestions
• Identifies potential issues and improvements
• Learns from your team's coding patterns
• Integrates with GitHub Actions workflow

3.2 Service Availability

We strive to provide reliable and continuous Service, but we do not guarantee that:

• The Service will be uninterrupted or error-free
• Defects will be corrected
• The Service will be free from viruses or harmful components
• Results obtained from the Service will be accurate or reliable

3.3 Modifications to Service

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.

4. Pricing and Payment

4.1 Free Trial

We offer a free trial period until December 31, 2025, as advertised on our website. During this period, you have full access to all features without charge.

4.2 Subscription Plans

After the free trial period, access to the Service will require a paid subscription. Subscription tiers and pricing will be clearly displayed on our website.

4.3 Payment Terms

• Subscription fees are billed in advance on a recurring basis (monthly or annually)
• Payment must be made through our designated payment processor
• All fees are non-refundable except as required by law or as explicitly stated in these Terms
• You are responsible for all taxes associated with your subscription

4.4 Price Changes

We reserve the right to change our pricing at any time. We will provide at least 30 days' notice of any price increases. Your continued use of the Service after a price increase constitutes acceptance of the new pricing.

4.5 Payment Failure

If your payment method fails or your account becomes past due:

4.6 Cancellation and Refunds

5. Acceptable Use Policy

• Use the Service for any illegal or fraudulent purpose

5.3 Consequences of Violation

Violation of this Acceptable Use Policy may result in:

• Immediate suspension or termination of your account
• Legal action
• Reporting to law enforcement authorities
• Liability for damages

6. Intellectual Property Rights

6.1 Service Ownership

The Service, including all content, features, functionality, software, code, designs, graphics, interfaces, and trademarks, is owned by diffray and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

6.2 Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to:

• Use the Service in accordance with these Terms

7. User Content and Data

7.1 Your Code and Data

You retain all ownership rights to your source code, repositories, and data that you provide to the Service ("User Content").

7.2 License to Process

By using the Service, you grant us a limited license to:

• Access and analyze your code repositories
• Process pull requests and code changes
• Generate AI-powered review suggestions
• Store and process data necessary to provide the Service

This license exists solely to provide the Service and terminates when you disconnect a repository or delete your account.

7.3 Data Usage for Improvement

We may use aggregated, anonymized data derived from User Content to:

• Improve our AI models
• Develop new features
• Conduct research and analysis

We will NOT:

• Use your proprietary code to train publicly available models
• Share your code with other customers
• Publicly disclose your code or proprietary information

You may opt out of having your data used for model improvement by contacting privacy@diffray.ai.

7.4 Responsibility for User Content

You are solely responsible for:

• The accuracy, legality, and appropriateness of your User Content
• Ensuring you have all necessary rights and permissions to use and share your User Content
• Any consequences arising from your User Content

7.5 Prohibited Content

You may not upload or transmit:

• Content that infringes intellectual property rights
• Illegal, harmful, or offensive content
• Malicious code or viruses
• Personal information of others without consent

7.6 Content Removal

We reserve the right to remove or disable access to any User Content that violates these Terms or applicable laws, without prior notice.

10. Disclaimers and Warranties

10.1 Service "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, OR COMPLETENESS.

10.2 AI-Generated Content

We do not guarantee that:

• AI-generated code review suggestions are accurate, complete, or appropriate
• Following AI suggestions will improve your code
• AI analysis will detect all issues in your code
• AI recommendations are suitable for your specific use case

YOU ARE SOLELY RESPONSIBLE FOR REVIEWING AND EVALUATING ALL AI-GENERATED SUGGESTIONS BEFORE IMPLEMENTATION.

11. Limitation of Liability

11.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DIFFRAY, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES.

11.2 Cap on Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (a) THE AMOUNT YOU PAID TO DIFFRAY IN THE 12 MONTHS PRECEDING THE CLAIM, OR (b) $100 USD.
